1. General Legal Notice

This Legal Notice governs all transactions conducted through BuyDirect & Save (operated by Max Deals 365 LLC, a New York limited liability company). By placing an order, submitting a purchase request, or remitting payment to Max Deals 365 LLC in any form, the buyer (hereinafter "Customer") unconditionally agrees to all terms set forth herein, in addition to the Company Policy and any applicable quote, invoice, or purchase agreement issued by Max Deals 365 LLC.

All sales are subject to the laws of the State of New York. Any dispute arising from a transaction with Max Deals 365 LLC shall be subject to the exclusive jurisdiction of the courts of the State of New York.

2. Non-Refundable Payment Methods — Wire Transfers, Checks, Certified Checks, Zelle & Similar Instruments

2.1 Irrevocable Payment Acknowledgment

The following payment methods are classified as irrevocable and non-refundable once funds have been received and confirmed by Max Deals 365 LLC:

Domestic or International Wire Transfers (ACH, SWIFT, CHIPS, or any interbank transfer)
Certified Checks
Cashier's Checks
Personal or Business Checks (once cleared)
Zelle payments
Cash App (Cash App Pay, Cash App transfers)
Venmo business or personal payments
Any other bank-to-bank, peer-to-peer, or digital wallet transfer not classified as a standard credit or debit card transaction

BY REMITTING PAYMENT VIA ANY OF THE ABOVE METHODS, THE CUSTOMER EXPRESSLY ACKNOWLEDGES AND AGREES THAT:

The payment is final, irrevocable, and non-refundable once confirmed as received by Max Deals 365 LLC.
No chargeback, reversal, dispute, or cancellation of payment will be entertained after funds have been received and confirmed.
The Customer waives any right to initiate a payment recall, chargeback, or reversal through their financial institution once Max Deals 365 LLC has confirmed receipt of funds.
The Customer understands that these payment methods do not offer buyer protection programs comparable to credit card transactions.

2.2 Order Fulfillment Following Non-Refundable Payment

Upon confirmed receipt of a wire transfer, check, certified check, Zelle, or equivalent irrevocable payment:

Max Deals 365 LLC will process and fulfill the Customer's order in accordance with the agreed-upon quote, invoice, or purchase order.
The Customer agrees to await delivery of the ordered item(s) in full. No refund, credit, or return of funds will be issued on the basis of delivery timeline alone, provided Max Deals 365 LLC is actively fulfilling the order.
Estimated delivery timelines are provided in good faith and are subject to carrier availability, customs clearance (for international shipments), product availability, and other factors outside the direct control of Max Deals 365 LLC.
In the event of a material fulfillment failure solely attributable to Max Deals 365 LLC (e.g., confirmed inability to source or ship the ordered product), the Company reserves the right to issue a store credit, substitute product of equal or greater value, or account credit rather than a cash refund, unless otherwise required by applicable law.

2.3 Wire Transfer Instructions & Verification

Wire transfer instructions are provided exclusively by Max Deals 365 LLC via official communication channels (info@buydirectny.com or direct quote documentation). Customers are strongly advised to:

Verify wire instructions directly by calling +1 (888) 282-1350 before initiating any transfer.
Never act on wire instructions received from unverified third-party sources or unsolicited emails.
Retain all wire transfer confirmation receipts for their records.

Max Deals 365 LLC will not be held liable for funds transferred to incorrect accounts as a result of fraud, phishing, or business email compromise (BEC) attacks not originating from our official systems.

3. Check & Certified Check Policy

Personal and business checks are accepted subject to clearance. Orders will not be processed or shipped until the check has fully cleared the issuing financial institution.
Certified checks and cashier's checks are treated as cleared funds upon deposit confirmation.
Returned, bounced, or dishonored checks will result in immediate order cancellation, and the Customer may be held liable for a returned check fee of $50.00 in addition to any bank charges incurred by Max Deals 365 LLC.
Once a check has cleared and the order has been placed into fulfillment, the payment is non-refundable under the terms of Section 2 above.

4. Dispute Resolution & Chargeback Policy

4.1 Credit & Debit Card Transactions

For orders paid via credit or debit card, customers who have a legitimate dispute are encouraged to contact Max Deals 365 LLC directly at info@buydirectny.com or +1 (888) 282-1350 before initiating a chargeback with their card issuer. Max Deals 365 LLC will make every reasonable effort to resolve disputes in a timely manner.

4.2 Frivolous or Fraudulent Chargebacks

Max Deals 365 LLC reserves the right to pursue all available legal remedies against customers who initiate fraudulent, bad faith, or unjustified chargebacks, including but not limited to:

Reporting to credit bureaus and collections agencies
Civil litigation for recovery of funds, fees, and legal costs
Reporting to law enforcement where applicable

4.3 Non-Refundable Payment Disputes

For payments made via wire transfer, Zelle, certified check, or any irrevocable payment instrument, Max Deals 365 LLC will not issue refunds as a result of a customer-initiated bank recall or reversal request. Customers are advised to resolve all order concerns directly with Max Deals 365 LLC prior to payment.

5. Order Cancellation After Payment

Orders paid via credit or debit card may be cancelled before shipment, subject to Max Deals 365 LLC's standard cancellation policy.
Orders paid via wire transfer, certified check, Zelle, or any irrevocable payment method cannot be cancelled once payment has been confirmed and the order has entered the fulfillment process.
Special orders, custom configurations, pre-orders, and bulk procurement orders are non-cancellable and non-refundable once payment has been received, regardless of payment method.
Cancellation requests must be submitted in writing to info@buydirectny.com and are subject to review and approval by Max Deals 365 LLC at its sole discretion.

6. Limitation of Liability

To the fullest extent permitted by applicable law:

Max Deals 365 LLC's total liability to any Customer shall not exceed the total purchase price paid for the specific transaction giving rise to the claim.
Max Deals 365 LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of business, loss of profits, or loss of data, arising from or related to any transaction or use of products purchased.
Max Deals 365 LLC shall not be liable for delays caused by force majeure events, including but not limited to acts of God, natural disasters, pandemics, government actions, carrier disruptions, port delays, or customs holds.

7. Governing Law & Jurisdiction

This Legal Notice and all transactions with Max Deals 365 LLC are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action arising from a transaction shall be brought exclusively in the courts of the State of New York, and the Customer hereby consents to the personal jurisdiction of such courts.

8. Amendments

Max Deals 365 LLC reserves the right to update or amend this Legal Notice at any time without prior notice. The version published on www.buydirectny.com/pages/legal-notice at the time of a transaction shall govern that transaction.
