Terms & Conditions / Order Agreement

This Agreement governs the purchase of goods from Max Deals 365 LLC d/b/a BuyDirect & Save (“Seller”) by the buyer (“Buyer”). By signing, ordering, or remitting payment, Buyer agrees to these terms, to any applicable BuyDirectNY quote or invoice, and to the Company’s Legal Notice & Payment Acknowledgment, incorporated by reference.

1. Order & Pricing

Buyer purchases the item(s), quantities, and prices on the applicable quote/invoice. Quoted prices are valid only for the stated period and may be re-quoted thereafter. Manufacturer part numbers (MPNs) control the items supplied.

2. Payment

Unless agreed in writing, payment is due in advance by wire, ACH, or company check. No order is confirmed, allocated, or shipped until Seller confirms funds have fully and irrevocably cleared.

3. Non-Refundable & Irrevocable Payment Methods

Wire transfers (ACH/SWIFT/CHIPS), certified/cashier’s/personal/business checks (once cleared), Zelle, Cash App, Venmo, and any bank-to-bank, peer-to-peer, or digital-wallet transfer are final, irrevocable, and non-refundable once received and confirmed. Buyer agrees no chargeback, reversal, recall, or cancellation will be entertained thereafter, waives any right to recall or reverse the payment through its bank, and understands these methods carry no card-style buyer protection.

4. Fulfillment After Non-Refundable Payment

Seller will fulfill per the quote/invoice, and Buyer agrees to await delivery in full. No refund is issued on delivery timeline alone while Seller is actively fulfilling. Timelines are good-faith estimates subject to carrier, customs, and availability. For a material fulfillment failure solely attributable to Seller, Seller may issue store credit, a substitute of equal/greater value, or account credit rather than cash, unless law requires otherwise.

5. Banking & Wire-Fraud Protection

Seller will never change banking details by email. Before wiring, Buyer must verify account details by phone at 888-282-1350. Buyer is solely responsible for funds sent to incorrect accounts due to fraud, phishing, or business email compromise not originating from Seller’s official systems, and holds Seller harmless.

6. Check & Certified Check Policy

Checks are accepted subject to clearance; orders ship only after clearing. Certified/cashier’s checks clear on deposit confirmation. Returned or dishonored checks trigger cancellation plus a $50 returned-check fee and any bank charges. Once cleared and in fulfillment, payment is non-refundable per Section 3.

7. Product Condition & Warranty

New items carry only the manufacturer’s standard warranty; Seller adds none. Discontinued, used, refurbished, open-box, and special-order items are sold AS-IS, WHERE-IS without warranty unless a written warranty appears on the quote/invoice. No substitutions without Buyer consent.

8. Shipping, Title & Risk of Loss

Delivery windows are estimates, not guarantees, and begin after payment clears. Unless stated, title and risk pass to Buyer on delivery to the carrier. Shipments are insured; loss or visible-damage claims must be reported within five (5) business days of delivery.

9. Returns & RMA

Returns require a prior Return Merchandise Authorization (RMA). AS-IS, discontinued, special-order, and opened items are non-returnable. Approved returns may carry a restocking fee. Unauthorized returns are refused.

10. Order Cancellation After Payment

Card orders may be cancelled before shipment per Seller’s policy. Orders paid by wire, certified check, Zelle, or any irrevocable method cannot be cancelled once payment is confirmed and fulfillment begins. Special, custom, pre-order, and bulk orders are non-cancellable and non-refundable once paid, regardless of method. Cancellation requests must be in writing to info@buydirectny.com, subject to Seller’s sole discretion.

11. Disputes & Chargebacks

Buyer agrees to contact Seller first (888-282-1350 / info@buydirectny.com) before any chargeback or dispute. Initiating a chargeback, recall, or reversal on an order delivered in conformity with this Agreement is a breach. Seller may pursue all remedies for fraudulent or bad-faith chargebacks, including credit-bureau and collections reporting, civil litigation for funds, fees, and legal costs, and law-enforcement referral. Seller issues no refunds on customer-initiated recalls of irrevocable payments.

12. Export Compliance

Buyer complies with all U.S. export-control (EAR) and sanctions (OFAC) laws and will not export, re-export, transfer, or divert goods contrary to them. Export-controlled items require Seller’s separate Export Control & End-User Certification before shipment.

13. Limitation of Liability

To the fullest extent permitted by law, Seller’s total liability for any order is limited to the purchase price paid. Seller is not liable for indirect, incidental, consequential, special, or punitive damages, or for delays caused by force majeure (acts of God, natural disasters, pandemics, government actions, carrier disruptions, port or customs delays).

14. Governing Law; Jurisdiction; E-Signature

Governed by New York law, without regard to conflict-of-laws rules. Disputes lie exclusively in New York courts, to whose jurisdiction Buyer consents. Buyer consents to electronic records and signatures under the ESIGN Act and UETA and agrees an electronic signature is binding.

15. Amendments

Seller may amend this Agreement and its Legal Notice at any time; the version published at buydirectny.com/pages/legal-notice at the time of a transaction governs that transaction.

17. Entire Agreement

This Agreement, the referenced quote/invoice, and the published Legal Notice are the entire agreement and supersede all prior discussions.
